Throughout these Terms, “HANABI CLUB”, “we”, “us” and “our” refer to HANABI CLUB LTD.

HANABI CLUB operates several connected projects and trading names, including:

  • HANABI, our clothing and apparel brand;
  • HANABI PRESS, our publishing imprint;
  • HANABI AUTHOR LAB, our writer education platform;
  • the HANABI CLUB Book Club, community and literary media.

These Terms govern your use of hanabi.club, your participation in services made available through HANABI CLUB and purchases made through our online store.

2. Acceptance of these Terms

By accessing our website, creating an account, placing an order, purchasing digital content or participating in our services, you agree to these Terms.

Our Privacy Policy, Shipping Policy and Return and Refund Policy also form part of these Terms.

Nothing in these Terms limits any consumer right or legal remedy that cannot lawfully be limited or excluded.

3. Eligibility and accounts

You must be at least 18 years old to make a purchase through our website. If you are under 18, a parent or legal guardian must place the order on your behalf and agree to these Terms.

You agree to provide information that is accurate, complete and current when creating an account or placing an order.

You are responsible for keeping your account details and password secure. Please contact us promptly if you believe your account has been accessed without permission.

You may not sell, transfer or share your account with another person. Accounts used to access AUTHOR LAB or other paid digital content are for the individual purchaser only.

4. Our products and services

HANABI CLUB offers a mixture of physical products, digital content, community services and editorial content.

Physical products may include:

  • HANABI clothing and apparel;
  • HANABI PRESS books and poetry;
  • products supplied by independent businesses through our curated-goods collection;
  • accessories, stationery and other literature-related products.

Digital and community services may include:

  • HANABI AUTHOR LAB;
  • the HANABI CLUB Book Club and Discord community;
  • author interviews;
  • literary essays, videos, newsletters and other editorial content;
  • online or physical events.

We take reasonable care to ensure that product descriptions, photographs, dimensions, colours and other information are accurate. However, colours and appearance may vary slightly depending on screen settings, production methods and materials.

Any minor variation that does not materially affect the product’s description, quality or intended use will not normally constitute a defect. This does not affect your rights where an item is faulty, damaged, misdescribed or materially different from what you ordered.

Products and services may be withdrawn, amended or discontinued before an order is accepted.

5. Orders and contract formation

Placing an order is an offer to purchase the products or services in your basket.

After placing an order, you will normally receive an automatic acknowledgement. This confirms that we have received your order but does not necessarily mean that it has been accepted.

For physical products, a contract is normally formed when we confirm dispatch of the relevant product.

For AUTHOR LAB or other digital products, a contract is normally formed when payment is accepted and access is activated or provided.

We may decline or cancel an order where there is a legitimate reason, including:

  • a product being unavailable;
  • an obvious pricing or product-information error;
  • an inability to deliver to the supplied address;
  • suspected fraud, misuse or unauthorised payment;
  • a breach of these Terms;
  • legal or regulatory restrictions.

Where we cancel an order after payment has been taken, we will refund the relevant amount to the original payment method.

Products purchased through our consumer store are intended for personal use. They may not be purchased for commercial resale without our prior written agreement.

6. Prices, payments and promotions

Prices are displayed in the currency selected for your market.

Prices include VAT where applicable unless expressly stated otherwise. Delivery charges and any other charges payable to HANABI CLUB will be displayed before you complete checkout.

For international orders, customs duties, import taxes or courier handling charges may be imposed by the destination country. These charges may not be included in the amount paid to HANABI CLUB and may be payable by the recipient.

You confirm that you are authorised to use the payment method provided and that the billing information is accurate.

Discount codes and promotions:

  • are subject to availability;
  • may have separate eligibility requirements or expiry dates;
  • cannot normally be applied retrospectively;
  • cannot be exchanged for cash;
  • may not be combined unless expressly stated.

We may withdraw or amend a promotion before an order is placed. Changes will not affect an order that has already been accepted.

7. Fulfilment and delivery

HANABI CLUB products are fulfilled from several locations.

HANABI clothing

HANABI clothing may be produced and dispatched by our fulfilment partners. Shipping charges are calculated at checkout according to the order weight and destination.

HANABI PRESS books and poetry

HANABI PRESS books and poetry are normally packed and dispatched by HANABI CLUB from London, United Kingdom.

Curated goods

Curated goods are normally dispatched directly by the independent business supplying the product.

Where a curated product is purchased through the HANABI CLUB checkout, your sales contract remains with HANABI CLUB, even where another business stores, packages or dispatches the product on our behalf.

If we direct you to a separate third-party website and you complete your purchase on that website, your purchase will instead be governed by that business’s terms.

Products within the same order may:

  • be dispatched separately;
  • arrive on different dates;
  • carry separate shipping charges;
  • have different tracking numbers.

Delivery dates are estimates unless we have expressly agreed a guaranteed date. We are not responsible for delays caused solely by events genuinely outside our reasonable control, but this does not remove your legal rights where delivery is excessively delayed or does not take place.

Goods remain at our risk until they are delivered into your physical possession or the possession of a person you have identified to receive them. An exception may apply where you independently commission a carrier that was not offered by us.

8. Returns, cancellations and refunds

Returns, cancellations, faulty products and refunds are governed by our Return and Refund Policy.

For eligible physical products purchased online, customers may have a statutory right to cancel within 14 days of receiving the goods and then a further 14 days to return them. Our published Refund Policy may provide additional rights.

You must contact us before returning an item because different products may need to be sent to different return addresses.

Nothing in these Terms or our Refund Policy limits your statutory rights where goods are faulty, damaged, unsafe, misdescribed or otherwise fail to conform to the contract.

9. AUTHOR LAB and digital content

HANABI AUTHOR LAB is a digital education product supplied through online access.

We currently provide a 14-day cancellation and refund period for AUTHOR LAB purchases. You may request a refund for any reason within 14 days of purchase by contacting alex@hanabi.club.

If a refund is issued:

  • your access to AUTHOR LAB will be withdrawn;
  • you must stop using the course;
  • you must delete any materials downloaded from the course.

After the 14-day period, change-of-mind refunds are not normally available. This does not affect your statutory rights where the course is faulty, inaccessible or materially different from its description.

Purchasing AUTHOR LAB gives you a limited, personal, non-exclusive and non-transferable licence to access the course for your own education.

You must not:

  • share your login details;
  • give another person access to the course;
  • reproduce or redistribute course lessons or materials;
  • record, copy, publish, sell or commercially exploit course content;
  • use course materials to create a competing course or service.

AUTHOR LAB provides educational information and guidance. We do not guarantee that purchasing or completing the course will result in publication, representation, sales, income, professional success or any other particular outcome. Results depend on the participant’s work, circumstances and decisions.

10. Book Club and community participation

HANABI CLUB may operate its Book Club and community through third-party platforms, including Discord and video-conferencing services.

Community members must behave respectfully and must not:

  • harass, threaten or abuse another member;
  • post unlawful, discriminatory or sexually explicit content;
  • disclose another person’s private information;
  • repeatedly advertise or spam;
  • infringe copyright or other intellectual-property rights;
  • interfere with the operation of the community.

We may moderate content and suspend or remove members who seriously or repeatedly breach these rules. Where appropriate, we will explain the reason and provide an opportunity to resolve the issue.

Book selections, schedules, guest appearances, interviews and events may change because of author availability, technical issues or circumstances outside our control. Where a separately paid event is cancelled, any refund rights will be explained in the terms applicable to that event.

Use of Discord, Substack, YouTube and other external platforms is also subject to those platforms’ terms and privacy policies.

11. Editorial and informational content

Articles, interviews, videos, newsletters, reading lists and other editorial material published by HANABI CLUB are provided for general information, education and entertainment.

Views expressed by an interviewed author, contributor, community member or guest are their own and do not necessarily represent the views of HANABI CLUB.

Content concerning writing, publishing, marketing or business should not be treated as legal, financial, tax or other regulated professional advice.

12. Intellectual property

Unless otherwise stated, the website and its content are owned by or licensed to HANABI CLUB LTD.

This includes our:

  • names and logos;
  • clothing designs and graphics;
  • photographs and videos;
  • website copy and editorial content;
  • interviews and recordings;
  • course lessons and resources;
  • layouts, branding and downloadable materials.

HANABI CLUB, HANABI, HANABI PRESS and HANABI AUTHOR LAB, together with their associated logos and branding, may be protected by copyright, trade-mark and other intellectual-property rights.

You may access our publicly available content for your own personal and non-commercial use.

You may not reproduce, republish, sell, distribute, modify, scrape, commercially exploit or create derivative products from our content without prior written permission, except where permitted by law.

Nothing in these Terms prevents legitimate quotation, criticism, review, reporting or other use allowed under applicable copyright law.

13. Reviews, feedback and user content

You retain ownership of original content that you submit to us, including reviews, photographs, comments and feedback.

By submitting content for publication, you grant HANABI CLUB a non-exclusive, worldwide, royalty-free licence to reproduce, display, edit for formatting, distribute and use that content in connection with our website, social media, advertising and promotion.

You confirm that:

  • you own the content or have permission to submit it;
  • the content is accurate to the best of your knowledge;
  • the content does not infringe another person’s rights;
  • any incentive or compensation connected with a review has been disclosed.

We may remove content that is unlawful, misleading, abusive, irrelevant, infringing or otherwise inappropriate.

Do not send confidential business ideas or material unless we have entered into a separate written confidentiality agreement.

14. Third-party services and links

Our website uses services supplied by third parties, including Shopify, payment processors, fulfilment providers, analytics services and community platforms.

We are not responsible for the independent content, security or availability of a third-party website that you choose to visit.

A link to another website does not necessarily mean that we endorse everything published or sold there.

However, the use of a supplier or fulfilment partner does not remove HANABI CLUB’s responsibility for products sold directly through the HANABI CLUB checkout.

15. Acceptable use

You must not use our website, accounts, digital products or community services to:

  • break the law;
  • commit fraud or use an unauthorised payment method;
  • upload malware or harmful code;
  • interfere with website security or operation;
  • scrape or collect data without permission;
  • impersonate another person;
  • harass or harm others;
  • infringe intellectual-property or privacy rights;
  • send spam or unsolicited advertising;
  • obtain unauthorised access to paid content;
  • share or resell an AUTHOR LAB account.

We may restrict access where we reasonably believe that such activity has occurred.

16. Website availability and errors

We take reasonable steps to keep the website available and its information accurate. We cannot guarantee that the website will always operate without interruption or technical error.

We may temporarily suspend or restrict website functions for maintenance, security, technical work or circumstances outside our reasonable control.

If an obvious price or product error is identified before an order is accepted, we may correct it and ask whether you wish to proceed at the correct price.

If we cannot fulfil an accepted order because of an error or product unavailability, we will contact you and provide an appropriate refund.

17. Our responsibility to you

Nothing in these Terms excludes or limits:

  • liability for death or personal injury caused by negligence;
  • liability for fraud or fraudulent misrepresentation;
  • your statutory consumer rights;
  • any other liability that cannot legally be excluded or limited.

We are responsible for loss or damage that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill.

We are not normally responsible for:

  • loss that was not reasonably foreseeable when the contract was formed;
  • business losses arising from products purchased primarily for personal use;
  • disruption caused exclusively by events outside our reasonable control;
  • losses caused by inaccurate information supplied by the customer;
  • failures of an independent third-party platform that are outside our control.

This section does not remove any obligation to provide a refund, replacement, repair or other remedy where required by consumer law.

18. Suspension and termination

We may suspend an account, community membership or digital-course access where we reasonably believe that there has been:

  • fraud or unauthorised payment activity;
  • serious misuse of our website or services;
  • account sharing;
  • infringement of our intellectual property;
  • harassment or unlawful conduct;
  • a material breach of these Terms.

Where reasonably possible, we will provide an explanation and an opportunity to resolve the issue.

Suspension or termination does not affect any statutory rights relating to products already purchased.

Provisions concerning payment, intellectual property, user content, liability and governing law will continue where they are intended to apply after access ends.

19. Privacy

Our collection and use of personal information are governed by our Privacy Policy and Cookie Policy.

Because our store is hosted by Shopify, Shopify also processes certain information required to provide the website, checkout and related services.

Please review the relevant privacy policies for further information about how personal information is used and shared.

20. Relationship with Shopify

HANABI CLUB is powered by Shopify, which provides the ecommerce platform used to operate our store.

Any sale made through the HANABI CLUB store is made directly between you and HANABI CLUB LTD. Shopify is not the seller of HANABI CLUB products and is not responsible for fulfilling your order, processing a return on our behalf or resolving a dispute concerning a product sold by us.

To the extent permitted by law, Shopify and its affiliates are not liable for claims arising solely from purchases and transactions between you and HANABI CLUB.

21. Changes to these Terms

We may update these Terms where necessary to reflect changes to:

  • our products or services;
  • legal or regulatory requirements;
  • our website or technology;
  • security practices;
  • third-party platforms used by HANABI CLUB.

The latest version will be published on this page with its effective date.

Changes will apply prospectively. An order already accepted will normally remain governed by the Terms in effect when that order was placed, unless a change is required by law or you expressly agree otherwise.

22. Governing law and disputes

These Terms and any contract between you and HANABI CLUB LTD are governed by the law of England and Wales.

If you live in England or Wales, legal proceedings may be brought in the courts of England and Wales.

If you live in Scotland or Northern Ireland, you may also bring proceedings in the courts of the part of the United Kingdom in which you live.

If you live outside the United Kingdom, this governing-law clause does not remove mandatory consumer protections or rights available under the law of your country of residence where those rights legally apply.

Before beginning formal proceedings, please contact us so that we can attempt to resolve the matter.

23. General provisions

If any part of these Terms is found to be unlawful or unenforceable, the remaining provisions will continue to apply.

A delay by either party in enforcing a right does not mean that the right has been waived.

We may transfer our rights and obligations under these Terms as part of a business reorganisation, sale or transfer, provided that doing so does not materially reduce your rights. We will notify you where required.

These Terms, together with the policies incorporated into them, form the agreement between you and HANABI CLUB concerning your use of our website and your purchases.
